1. Introduction

Welcome to wholesellers.shreemati.com, the wholesale trading portal owned and operated by the registered entity www.shreemati.com (“the Platform,” “We,” “Us,” or “Our”).
By accessing or using this Platform, You (“User,” “Buyer,” or “Vendor”) agree to be bound by these Terms & Conditions (“Terms”).
These Terms form a binding legal agreement between You and the Platform and govern all wholesale (B2B) activity conducted through wholesellers.shreemati.com.


2. Legal Status & Relationship

  • The Platform is operated under the legally registered firm www.shreemati.com, GST registered to its proprietor (name withheld) with operational bank account in the trade name Shreemati E Shopee.
  • The sub-domain wholesellers.shreemati.com functions as a wholesale marketplace facilitating transactions between registered Vendors (sellers) and Buyers (wholesale purchasers).
  • The Platform acts as an intermediary and e-commerce operator (ECO) under Indian law.
  • Unless explicitly stated, www.shreemati.com does not own or control the goods listed by third-party Vendors.

3. Eligibility & Account Registration

  • This Platform is strictly for business-to-business (B2B) transactions.
  • To register, a Buyer must provide valid business credentials such as GST IN, business registration, or reseller certificate.
  • Vendors must hold valid GST registration and agree to the separate Vendor Agreement.
  • Each account is individual; retail site credentials from www.shreemati.com cannot be used here.
  • Users are responsible for maintaining the confidentiality of login credentials and all activity under their account.

4. Product Listings & Pricing

  • Product information, specifications, and pricing are supplied by Vendors or the Platform (when it acts as a Vendor).
  • Prices are exclusive of GST unless stated otherwise. Applicable taxes will be calculated at checkout.
  • The Platform reserves the right to modify, suspend, or discontinue listings without notice.
  • Errors in pricing or product details may be corrected and orders adjusted accordingly with Buyer consent.

5. Order Placement & Acceptance

  • Orders placed through the Platform constitute an offer to purchase.
  • Confirmation of receipt does not signify acceptance. Orders become binding only upon written/email confirmation of dispatch.
  • The Platform and/or Vendor reserve the right to reject or cancel orders due to stock unavailability, pricing error, or compliance issues.
  • Minimum Order Quantities (MOQ) and other wholesale thresholds apply as specified on each product.

6. Payment Terms

  • Accepted payment modes: bank transfer, UPI, net banking, or approved payment gateways.
  • Payment must be completed in full before dispatch, unless otherwise agreed in writing (e.g., Net 30 or Net 45 terms).
  • All payments are made to Shreemati E Shopee, the authorized operating account.
  • Platform may deduct applicable TDS (1%) and TCS (0.5%) as per Indian law before remitting Vendor payouts.

7. Taxes (GST / TDS / TCS)

  • Each Vendor is responsible for issuing tax invoices and paying GST on its supplies.
  • The Platform, as an E-Commerce Operator, will:
    • Collect 0.5 % TCS on the net value of taxable supplies;
    • Deduct 1 % TDS on gross sales under Section 194O of the Income Tax Act;
    • Issue appropriate TCS/TDS certificates and deposit the same with authorities.
  • Buyers will receive valid GST invoices from the respective Vendor or the Platform (if the Platform acts as Vendor).

8. Shipping, Delivery & Risk Transfer

  • Shipping is governed by the Shreemati Shipping Policy, which forms part of these Terms.
  • Unless otherwise specified, risk and title pass to the Buyer upon dispatch from the Vendor’s or Platform’s facility.
  • Any shipping delays caused by logistics providers, customs, or force majeure events are beyond Platform control.
  • Buyers must inspect shipments upon delivery and report visible damages within 48 hours.

9. Returns, Cancellations & Refunds

  • Wholesale (B2B) transactions are generally non-returnable except for:
    • Damaged or defective goods confirmed upon receipt;
    • Wrong items shipped;
    • Agreed warranty claims.
  • Returns must follow the Wholesale Return & Refund Policy, initiated within 7 days of delivery.
  • Refunds, if approved, are processed within 10–15 working days after inspection.

10. Warranties & Liabilities

  • Vendors warrant that all products are genuine, merchantable, and compliant with Indian standards.
  • The Platform disclaims all implied warranties regarding accuracy, completeness, or fitness for a particular purpose.
  • Liability of the Platform is limited to the transaction value of the affected order.
  • Vendors are solely liable for product quality, authenticity, labeling, and statutory compliance.

11. Vendor Obligations

  • Vendors must:
    • Maintain accurate inventory and product information;
    • Comply with all GST, BIS, FSSAI, and labeling laws;
    • Dispatch orders within stipulated timelines;
    • Address Buyer complaints promptly.
  • Breach or delay may result in suspension, penalties, or forfeiture of due payments.

12. Intellectual Property

  • All Platform content (logos, trademarks, layouts, data) belongs to www.shreemati.com or respective licensors.
  • Vendors grant the Platform a non-exclusive license to use their product images and descriptions for marketing.
  • Unauthorized copying or reproduction of Platform content is prohibited.

13. Prohibited Activities

Users shall not:

  • List counterfeit or prohibited goods;
  • Misrepresent product origin or specifications;
  • Engage in fraudulent, defamatory, or unlawful conduct;
  • Circumvent Platform fees or engage in off-platform transactions.

Violation may lead to immediate suspension and legal action.


14. Data Protection & Privacy

  • The Platform processes user data in accordance with its Privacy Policy, compliant with the Digital Personal Data Protection Act 2023.
  • No customer data is shared with the retail site www.shreemati.com.
  • Users consent to the collection and use of data for transaction processing, compliance, and communication.

15. Indemnification

You agree to indemnify and hold harmless www.shreemati.com, its proprietors, employees, and affiliates against any claims, losses, or liabilities arising from:

  • Violation of these Terms;
  • Product defects or statutory breaches by Vendors;
  • Infringement of intellectual property or third-party rights;
  • Misuse of the Platform or fraud.

16. Suspension & Termination

The Platform may suspend or terminate access if:

  • Legal or regulatory violations occur;
  • False or misleading information is provided;
  • Payments remain outstanding; or
  • Activities harm the reputation or functioning of the Platform.

Outstanding obligations shall survive termination.


17. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.
All disputes shall fall under the exclusive jurisdiction of competent courts at Indore (Madhya Pradesh) and Kolkata (West Bengal).


18. Amendments

We may update these Terms periodically to reflect operational, legal, or regulatory changes.
Updated versions will be posted on the Platform with a revised effective date.


19. Grievance Readdress

As per Indian e-commerce guidelines, a Grievance Officer shall be appointed.
