1. Purpose and Scope
This Wholesale Buyer Agreement (“Agreement”) governs the rights and obligations of every Buyer purchasing products through the wholesale marketplace wholesellers.shreemati.com, operated by the firm www.shreemati.com (“the Platform,” “We,” “Us,” or “Our”).
It applies to all B2B (business-to-business) orders placed via the Platform, whether supplied by third-party Vendors or directly by the Platform acting as a Vendor.
2. Eligibility
- Buyer must be a business entity, reseller, or individual purchasing for commercial purposes.
- A valid GST IN, trade license, or reseller certificate is mandatory for order activation.
- By registering, Buyer affirms that all details provided are true, current, and complete.
3. Account and Verification
- Buyers must create an account specific to wholesellers.shreemati.com; retail accounts on www.shreemati.com are not linked.
- The Platform may request KYC documents or additional verification.
- Misrepresentation or failure to furnish verification may result in suspension or cancellation of orders.
4. Ordering Process
- Orders placed constitute an offer to purchase.
- Acceptance occurs only when the Vendor or Platform confirms dispatch.
- Minimum Order Quantity (MOQ) or order-value thresholds may apply.
- Orders cannot be withdrawn once processed for dispatch.
5. Pricing, Taxes, and Invoicing
- All prices are exclusive of applicable GST, shipping, and handling charges.
- Final payable amount is displayed during checkout.
- Vendors are responsible for issuing GS-compliant invoices to Buyers.
- In cases where the Platform acts as Vendor, the invoice will be raised by Shreemati E Shopee under the GST registration of www.shreemati.com.
6. Payment Terms
- Payments must be made through authorized gateways or bank transfer to Shreemati E Shopee.
- Standard terms are advance payment, unless credit is approved (e.g., Net 30 / Net 45).
- Delayed payments attract interest at 1.5 % per month until cleared.
- Orders may be withheld until full payment realization.
7. Delivery, Inspection, and Acceptance
- Delivery is subject to the Shreemati Shipping Policy.
- Title and risk pass to Buyer upon dispatch from Vendor’s warehouse.
- Buyer must inspect goods upon delivery and report visible damages or shortages within 48 hours.
- Acceptance is deemed complete once goods are received without timely objection.
8. Return, Cancellation, and Refund
- B2B orders are final. Returns are allowed only for:
- Transit-damaged or defective items;
- Mismatch in quantity or SKU;
- Items covered under warranty.
- Return requests must be submitted within 7 days of delivery using the prescribed form.
- Refunds, if approved, will be processed to Buyer’s original payment source within 10–15 working days after inspection.
9. Warranties
- Vendors warrant that goods are new, merchantable, and conform to specifications.
- Platform does not provide additional warranty unless expressly stated.
- Warranty period, if any, will be specified on the invoice or product listing.
- Buyer must follow manufacturer or Vendor procedures for warranty claims.
10. Compliance & GST Responsibility
- Buyer must ensure its GST IN and billing details are accurate.
- Buyer agrees not to misuse input-tax-credit or engage in fraudulent invoicing.
- Platform will:
- Deduct 1 % TDS under Section 194O of the Income Tax Act from payments to Vendors.
- Collect 0.5 % TCS under GST on behalf of the government.
- Vendors are responsible for remitting their own GST output tax; Buyers may claim input tax only against valid invoices.
11. Limitation of Liability
- The Platform acts as an intermediary facilitating transactions.
- Platform’s aggregate liability shall not exceed the invoice value of the disputed order.
- Indirect, incidental, or consequential damages are excluded.
12. Buyer Obligations
Buyer shall:
- Use the Platform for lawful business purposes only;
- Not engage in resale of restricted goods;
- Maintain updated business information;
- Abide by applicable import, packaging, and labeling laws when reselling goods.
Failure to comply may result in blacklisting or legal action.
13. Indemnification
Buyer agrees to indemnify and hold harmless the Platform, its proprietors, and employees against all losses, claims, damages, or liabilities arising from:
- Buyer’s breach of this Agreement or applicable laws;
- Use or resale of goods in violation of manufacturer or statutory standards;
- Fraudulent use of GST IN or misrepresentation of business credentials.
14. Intellectual Property
- Product images, trademarks, and brand names displayed belong to respective owners.
- Buyer acquires no license or right except for resale in its ordinary course of trade.
- Unauthorized copying, scraping, or redistribution of Platform content is prohibited.
15. Confidentiality
All non-public business or pricing information shared between the parties shall be treated as confidential and not disclosed to third parties without consent.
16. Force Majeure
Neither party shall be liable for delay or failure caused by events beyond reasonable control, including natural disasters, labor unrest, transport strikes, or government actions.
17. Termination
The Platform may terminate Buyer’s access immediately upon:
- Misuse of GST or legal violations;
- Non-payment or chargebacks;
- Reputation or policy breaches.
Termination shall not affect pending obligations or accrued rights.
18. Dispute Resolution & Jurisdiction
- Any dispute shall first be attempted to be resolved amicably through written communication.
- If unresolved, it shall be subject to arbitration under the Arbitration and Conciliation Act 1996, venue – Indore (M.P.).
- Courts at Indore (M.P.) and Kolkata (W.B.) shall have exclusive jurisdiction.
19. Notices
All notices shall be sent by email to:

Physical notices (if required) shall be deemed served at the registered office of www.shreemati.com.
20. Amendment
The Platform reserves the right to modify this Agreement at any time.
Continued use after publication of revised terms constitutes acceptance.
21. Acceptance
By creating an account or placing an order, Buyer acknowledges that they have read, understood, and agreed to this Agreement along with the Terms & Conditions, Shipping Policy, and Privacy Policy
