Jurisdiction: Indore (Madhya Pradesh) and Kolkata (West Bengal)
1. Introduction
This Vendor Agreement (“Agreement”) is made between:
- The Platform: www.shreemati.com, a proprietary concern registered under GST and operating through the trade name Shreemati E Shopee, and
- The Vendor: Any individual, business entity, or organization approved to list and sell products on wholesellers.shreemati.com.
By registering as a Vendor, you (“Vendor,” “You,” or “Your”) agree to comply with this Agreement and all Platform policies, including the Wholesale Terms & Conditions, Privacy Policy, and Shipping Policy.
2. Legal Status
- The Platform operates as an E-Commerce Operator (ECO) under Indian law.
- Vendors are independent sellers responsible for their own legal, tax, and product compliance.
- The relationship is non-exclusive and non-employment-based; Vendors act as principals, not agents or employees of the Platform.
3. Vendor Eligibility & On-boarding
- Vendors must hold a valid GST Registration and furnish PAN, Aadhaar, and business proof.
- On-boarding requires acceptance of this Agreement, submission of KYC documents, and verification by the Platform.
- Vendors must maintain accurate bank details for payments; the Platform shall deposit proceeds only to the verified account.
4. Listing & Product Obligations
Vendors shall:
- List only genuine, lawful products compliant with Indian standards (BIS, FSSAI, Legal Metrology, etc.).
- Upload accurate titles, specifications, prices, and stock levels.
- Not list restricted goods (weapons, drugs, counterfeit, infringing items).
- Update inventory promptly; out-of-stock items must be deactivated within 24 hours.
- Provide high-quality images and truthful descriptions.
The Platform reserves the right to edit, suspend, or remove listings violating these requirements.
5. Order Processing & Fulfillment
- Vendors must confirm, pack, and dispatch orders within the stipulated SLA (typically 2–5 business days).
- Shipments must comply with the Shreemati Shipping Policy.
- Tracking details must be updated on the Platform within 24 hours of dispatch.
- Failure to dispatch on time may lead to cancellation, penalties, or suspension.
6. Payment, Commission, and Deductions
- The Platform will collect payments from Buyers on behalf of Vendors.
- After deducting applicable Platform Commission, Payment Gateway Charges, TDS, and TCS, the balance shall be remitted to the Vendor’s verified bank account.
- Commission rate will be as per Vendor category and notified in writing.
- Payments are settled on a rolling cycle (e.g., 7–15 days post-delivery confirmation).
7. GST, TDS & TCS Compliance
Under Indian law:
- Vendor Responsibilities:
- Issue GT-compliant tax invoices to Buyers.
- Pay output GST to authorities and file returns on time.
- Platform Responsibilities:
- Collect 0.5 % TCS on net taxable supplies under Section 52 of CGST Act.
- Deduct 1 % TDS on gross sale value under Section 194O of Income Tax Act.
- Deposit and report both in GSTR-8 and TDS statements; furnish certificates to Vendors.
- Vendors shall provide their GSTIN correctly; failure will result in withholding of payouts until compliance.
8. Returns, Replacements & Refunds
- Vendors must honor the Platform’s Wholesale Return & Refund Policy.
- Returned items must be inspected within 5 working days of receipt; final approval communicated to the Platform within 48 hours.
- If damage or defect is Vendor’s fault, all logistic and refund costs will be borne by the Vendor.
- Repeated high return rates may attract penalties or delisting.
9. Warranty & After-Sales
- Vendors must provide applicable manufacturer or seller warranties.
- Vendor shall manage service requests, replacements, or repairs as per warranty terms.
- The Platform may assist but bears no independent warranty obligation unless it is the Vendor itself.
10. Vendor Code of Conduct
Vendors shall not:
- Misrepresent product details or inflate ratings.
- Solicit Buyers for off-platform sales.
- Post defamatory or false claims about competitors.
- Use the Platform for money-laundering, tax evasion, or illegal trade.
Violation may lead to immediate termination and legal action.
11. Intellectual Property & Licensing
- Vendors grant the Platform a non-exclusive, royalty-free license to display, reproduce, and promote their product content for marketing.
- Vendor warrants ownership or authorization for all images, trademarks, and descriptions.
- Any infringement claims shall be borne solely by the Vendor.
12. Confidentiality
All non-public information (pricing, commissions, Buyer data) shall be kept strictly confidential and used only for legitimate business purposes within the Platform.
13. Indemnity
The Vendor agrees to indemnify and hold harmless www.shreemati.com, its proprietors, employees, and affiliates against all claims, damages, penalties, or costs arising out of:
- Product defect, mislabeling, or statutory violation;
- GST or tax non-compliance;
- Intellectual-property infringement;
- Breach of this Agreement or applicable law.
14. Limitation of Liability
The Platform’s liability is limited to the commission amount earned from the specific transaction.
The Platform is not liable for indirect, incidental, or consequential losses, including lost profits or data.
15. Suspension, Penalties & Termination
- The Platform may impose monetary penalties or suspend accounts for SLA breaches, fake listings, or legal violations.
- Either party may terminate with 30 days’ written notice.
- Outstanding dues, taxes, or obligations will survive termination.
- Repeated non-compliance authorizes the Platform to withhold pending settlements.
16. Data Protection
Vendor data is processed in line with the Privacy Policy and the Digital Personal Data Protection Act 2023.
Vendor agrees not to misuse Buyer data for unsolicited communication or third-party marketing.
17. Dispute Resolution
- Parties shall attempt amicable resolution within 15 days of written notice.
- Failing which, disputes shall be referred to arbitration under the Arbitration & Conciliation Act 1996, conducted in Indore (M.P.), in English.
- Courts at Indore (M.P.) and Kolkata (W.B.) shall have exclusive jurisdiction.
18. Notices
Official communication shall be sent via email to:

Subject: “Vendor Agreement – wholesellers.shreemati.com”
or to the Vendor’s registered email on the Platform.
19. Amendment
The Platform may modify this Agreement and notify Vendors by email or dashboard notice.
Continued listing of products constitutes acceptance of the updated terms.
20. Entire Agreement
This document, together with the Wholesale Terms & Conditions, Privacy Policy, Return & Refund Policy, and Shipping Policy, constitutes the complete understanding between the parties and supersedes prior drafts or communications.
21. Acceptance
By registering or continuing to list products on wholesellers.shreemati.com, the Vendor confirms having read, understood, and agreed to all terms herein.
