Affiliate Program Terms

1. Purpose and Scope

These Terms govern participation in the Affiliate / Partnership Program (“Program”) offered by www.shreemati.com through its wholesale portal wholesellers.shreemati.com (“Platform,” “We,” “Us,” or “Our”).
By enrolling, you (“Affiliate,” “Partner,” or “You”) agree to comply with these Terms and all applicable laws, including Indian e-commerce, advertising, and tax regulations.

2. Eligibility

  • Open to registered individuals or businesses with valid PAN (and GST IN, if applicable).
  • Affiliates must have a functioning website, social-media page, or professional network relevant to wholesale trade.
  • The Platform reserves the right to approve or reject applications at its discretion.

3. Registration and Approval

  1. Apply via the Affiliate Portal on wholesellers.shreemati.com.
  2. Submit KYC documents (PAN, address proof, bank details).
  3. Receive approval email with unique Affiliate ID and dashboard access.
  4. Each Affiliate may operate only one registered account.

4. Program Operation

  • Affiliates promote wholesellers.shreemati.com using unique referral links, banners, or coupon codes provided by the Platform.
  • A referral is tracked when a verified buyer or vendor registers or completes an eligible order via that link.
  • Fraudulent clicks, self-referrals, or cookie manipulation are strictly prohibited.

5. Commission Structure

  • Commission rates are pre-tax and exclusive of GST.
  • The Platform may revise rates with prior notice.

6. Payment & Settlement

  • Payouts processed monthly, 30 days after order confirmation (to allow for returns/refunds).
  • Minimum payout threshold: ₹ 1,000.
  • Payments via bank transfer to the registered account of the Affiliate.
  • Applicable TDS (usually 10 %) will be deducted under Section 194H of the Income-Tax Act; certificate issued quarterly.
  • GST-registered Affiliates must raise a tax invoice to the Platform for their commission, charging GST at 18 %.

7. Tracking & Validation

  • Conversions are tracked through cookies valid for 30 days from the first click.
  • Only genuine transactions completed and paid in full qualify for commission.
  • Platform’s tracking records are final and binding.

8. Restrictions & Ethical Standards

Affiliates shall not:

  1. Use misleading or false advertising.
  2. Bid on Platform trademarks or domain names in search ads.
  3. Engage in spam, bulk emails, or unsolicited promotions.
  4. Create duplicate or fake buyer/vendor accounts.
  5. Offer unauthorized discounts or cashback.
  6. Promote counterfeit or illegal goods.

Violation may result in immediate termination and forfeiture of pending commissions.

9. Taxes & Legal Compliance

  • Affiliates are responsible for declaring income and paying taxes as per Indian law.
  • GST-registered Affiliates must comply with GST invoicing and filing.
  • The Platform will deduct TDS/TCS as required and issue certificates accordingly.

10. Confidentiality & Intellectual Property

  • The Platform’s logos, creatives, and materials remain its exclusive property.
  • Affiliates are granted a non-exclusive, revocable license to use approved creatives solely for Program promotion.
  • All tracking data, commission reports, and analytics are confidential.

11. Termination

The Platform may terminate Affiliate participation:

  • For breach of these Terms or applicable law;
  • For inactivity exceeding 6 months; or
  • Upon 30 days’ written notice without cause.
    Upon termination, all pending commissions subject to clearance shall be paid, except those earned through violation.

12. Limitation of Liability

The Platform is not liable for indirect or consequential losses.
Total liability is limited to the unpaid, approved commissions at the time of claim.

13. Indemnification

Affiliate shall indemnify and hold harmless www.shreemati.com, its proprietor, and employees from any loss or claim arising out of:

  • Misrepresentation or unlawful promotion;
  • Breach of these Terms; or
  • Violation of third-party rights, IP, or privacy laws.

14. Data Protection

  • Affiliate data is handled per the Privacy Policy (DPDP Act 2023).
  • Buyer or vendor data accessed through referral dashboards must not be shared, sold, or reused outside the Program.

15. Amendment & Notices

  • The Platform may modify Program rules or rates with 7 days’ prior notice via dashboard/email.
  • Continued participation constitutes acceptance of updated terms.
  • All notices to be sent to shreemati.care@gmail.com or the registered Affiliate email.

16. Dispute Resolution & Jurisdiction

  • Parties will first attempt amicable resolution within 15 days.
  • Unresolved disputes shall be subject to arbitration under the Arbitration & Conciliation Act 1996, seat – Indore (M.P.).
  • Courts at Indore (M.P.) and Kolkata (W.B.) have exclusive jurisdiction.

17. Entire Agreement

These Terms, along with the Wholesale Terms & Conditions, Privacy Policy, and Shipping Policy, constitute the entire understanding between the Parties.
